Terms of Service

Effective January 1, 2025

1. Acceptance of these terms

By creating an account or using Icebreaker (“the Service”) you agree to these Terms of Service. If you do not agree, do not use the Service. We may update these terms; continued use after the effective date constitutes acceptance of the new terms.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract. You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity under your account.

3. Roles

Requestors commission verified peer references. Providers deliver references in exchange for payment. Each user is associated with one or both roles. Conduct expectations apply equally regardless of role.

4. Escrow & payments

When a job is created, the requestor's payment is recorded in escrow. Funds are released to the provider only when the requestor accepts the delivery, or automatically seven days after delivery if no dispute is opened. Disputes pause release until an Icebreaker administrator resolves them.

Icebreaker is not a bank. Escrow balances are an internal accounting record. We may charge service fees disclosed at the time of transaction.

5. Reviews & references

Reviews must reflect a real, completed engagement. Fake, retaliatory, or coerced reviews are prohibited and will be removed. Providers represent that their references are truthful and based on first-hand professional experience with the requestor.

6. Acceptable use

You agree not to:

  • Use the Service for any unlawful or fraudulent purpose.
  • Circumvent escrow by transacting outside the platform.
  • Share contact details to route work off-platform during an active engagement.
  • Misrepresent your identity, employment, or expertise.
  • Scrape, reverse-engineer, or interfere with the Service.

7. Suspension & termination

We may suspend or terminate accounts that violate these terms, abuse other users, or pose a risk to the platform. You may close your account at any time from your settings; pending jobs and escrow balances will be settled per the dispute and release rules above.

8. Disclaimers & liability

The Service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, Icebreaker is not liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the fees you paid us in the three months preceding the claim.

9. Governing law

These terms are governed by the laws of the jurisdiction in which Icebreaker is incorporated. Disputes will be resolved in the courts of that jurisdiction unless an applicable consumer protection law provides otherwise.
